New Horizon Puts Pedal To The Metal On eVTOL Aircraft Led by a team of operators, aviators and aerospace engineers, New Horizon has been going full throttle of late as it prepares to fully transition its large-scale prototype aircraft by the end of this year. Chief among New Horizon’s priorities is advancing the development of its hybrid-powered eVTOL aircraft. The company has been making strides from a technical standpoint while also building out its team internally. Flight test program: Among the technical highlights, New Horizon has published results on its flight test program, which it says are surpassing its expectations. The company has performed hundreds of flight tests and is nearing full transition speed, which it anticipates achieving by year-end. Full-scale aircraft development: New Horizon says it is innovating the proprietary patent technologies that are critical to its unique aircraft, including full-scale propulsion units that are essential to its HOVR wing technology. Cooling system and power tests for its full-scale propulsion units continue to unfold and it says the outcomes are positive so far. Encouraging test results extend to the company’s Cavorite X7’s patented HOVR wing design, which the company says enables safer, more durable performance even in the most forbidding conditions. Digital twin development: New Horizon harnesses a hardware-in-the-loop (HITL) digital twin technology to test its aircraft, supporting the rapid testing of large-scale prototype aircraft like the Cavorite X7. Its hybrid technology is fueled by its HOVR wing technology, allowing the aircraft to fly nearly all of its missions in a formation that closely resembles that of a conventional aircraft. Meanwhile, the company says the hybrid power system delivers greater range, speed and payloads in its class. When the Cavorite X7 reaches commercialization, New Horizon expects it to have the power to disrupt the travel industry with its speed, efficiency and cost savings over traditional aircraft. However, its potential use cases also extend to medical evacuation, critical supply delivery, disaster relief and special military missions. “Our unique, customer-first approach prioritizes building a tough eVTOL aircraft that can operate in bad weather, icing conditions and other challenging operational environments. This strategy is gaining strong traction with operators, driving substantial demand,” said Horizon Aircraft CEO Brandon Robinson. New Horizon Says It Could Be Poised To Benefit From Possible Small-Cap Stock Demand Earlier this year, New Horizon made its debut in the publicly traded markets amid a business combination with special purpose acquisition company (SPAC) Pono Capital Three. Most recently, New Horizon returned to the equity capital markets with a $2.9 million public offering. The deal, the closing for which was announced in August, comprised 2.8 million Class A ordinary shares with various types of warrants. New Horizon’s timing is no coincidence, as the company says it could be poised to benefit from an expected ongoing rotation in the equity markets into small cap stocks. While small cap stocks have been gaining attention of late, New Horizon took matters into its own hands. It commissioned its own global poll of investment managers to uncover evidence of investor demand for small- and micro-cap names working with more sustainable technologies, where the upside potential is considered greater than larger companies because they are coming from a lower base. The aerospace company says it found that investor demand is in fact there, with more than three-quarters of survey participants demonstrating an expectation for exposure to these asset classes among institutional investors to increase in the next six to twelve months. Slightly more than one-third (34%) of them say allocations to these stocks could increase by at least 25%. This EV-Based Small Cap Has Partnerships With Walmart, NASA And The U.S. Postal Service – Is It On Your Radar?

(NASDAQ: GOEV), a high-tech advanced mobility company bringing electric vehicles – namely lifestyle delivery vehicles – to commercial operators, seems to have made strides in its quest to create a state-of-the-art EV commercial fleet. The company has inked deals with some of the biggest names in the U.S., including Walmart Inc. (NYSE: WMT), the U.S. Postal Service, the Department of Defense and even NASA. So what makes these large industry players and government agencies want to partner with a relatively unknown brand? After all, Canoo doesn’t have the name recognition of Tesla Inc. (NASDAQ: TSLA). However, it does have scalable technology, which it says sets it apart. EV Is Here to Stay Over the long haul, electric fleets for commercial and government customers have a lower total cost of ownership and don’t require costly fuel. But Canoo says it takes it a step further by using one-third the parts of traditional internal combustion engines (ICEs). The maintenance schedule is almost an afterthought thanks to its advanced computer architecture, which in most cases, can remotely diagnose and repair its EVs via over-the-air (OTA) software. The company also offers a warranty that covers up to eight years, something not common in the auto industry. Canoo is going after the last-mile delivery market with its fully electric Lifestyle Delivery Vehicles (LDV). The LDVs have a last-mile delivery optimized cabin and customized cargo space. Last-mile delivery refers to the very last step of the delivery process when a parcel is moved from one location to another. Canoo reports that it utilizes true steer-by-wire technology, reducing moving parts and cabin intrusion – resulting in more usable interior space, better driver ergonomics and the addition of a panoramic window to improve road visibility. The LDV is engineered for high-frequency stop-and-go deliveries and speedy vehicle-to-door drop-off, including grocery and food/meal delivery, says Canoo. Walmart Is In All those attributes are part of what led Walmart to select Canoo as its EV fleet provider. Walmart inked a deal to purchase 4,500 all-electric delivery vehicles from Canoo, beginning with the LDV. The retailer has the option to purchase up to 10,000 units. The vehicles are to be used to deliver online orders in a sustainable way which will also contribute to Walmart’s goal to achieve zero emissions by 2040, the companies said when originally announcing the deal. Canoo is headquartered in Justin, TX, and operates manufacturing sites in Oklahoma. While that is Canoo’s biggest order to date, the company is also making inroads with the U.S. government, inking deals with NASA, the Department of Defense and the U.S. Postal Service. All have the potential to expand into something more. Take the U.S. Post Office deal for starters. The postal service agreed to buy six right-hand drive versions of the LDV 190 as part of its move to electrify and modernize the postal service’s delivery fleet. Canoo delivered the vehicles this May, and the USPS is using them on mail routes. Additionally, the USPS is investing $40 billion to upgrade and improve the organization's processing, transportation and delivery networks. If it likes what it sees from Canoo, that could mean more purchases down the road. Meanwhile, NASA had also purchased three Crew Transportation Vehicles (CTVs) to transport the astronauts to the launch pad for the Artemis lunar missions. The CTVs are engineered to carry fully suited astronauts, flight support crew and equipment to the launch pad. “We are thrilled to be a part of the Artemis missions and to deliver NASA’s first zero-emission built for mission crew transportation vehicles,” said Tony Aquila, Chairman and CEO of Canoo. “It’s a very proud day for Canoo and all of our partners who worked so hard to ensure we perform our part to transport the astronauts for the first nine miles of every launch.” Beyond LDVs Beyond electric vehicles, Canoo is busy supplying batteries to the Department of Defense, expanding a deal with the U.S. Navy. Canoo’s proprietary battery system is modular and can support various military applications and configurations. The batteries harbor 5kWh modules that utilize 2170 cylindrical cells, but can fit other form factors and cell chemistries. The company says the expansion of the partnership further validates its technology and reliability. It is also delivering the Light Tactical Vehicle (LTV) to the U.S. Army. From fully electric vehicles that can transport cargo, goods and people to batteries powered by wind and solar, Canoo is doing its part for a greener tomorrow. EURONAV SHAREHOLDERS IN LINE FOR A US$46 MILLION PAYOUT FOLLOWING COURT RULING AGAINST CMB

On Friday, the Brussels Market Court in Belgium ruled that Compagnie Maritime Belge (CMB) wrongly calculated the offer price of shares during its mandatory takeover of Euronav NV in February this year. The court decided the value of each share should be retrospectively increased by at least US$0.52, amounting to an additional pay out of US$46 million. This sum takes into account the 69.2 million shares tendered in March 2024, and those remaining that may be sold if the public offer is re-opened. The Markets’ Court found that when calculating the bid price, CMB had failed to take into account special advantages worth US$104 million granted to Frontline when simultaneously selling it the best part of Euronav’s fleet (its newest 24 VLCC’s or very large crude carriers). The Court’s findings are exceptionally critical of CMB and Frontline: “It is particularly curious that the negotiations regarding the sale of the fleet, although they involved a transaction between Frontline and Euronav, took place exclusively between Frontline and CMB. Euronav was not at the negotiating table. As FourWorld rightly puts it, Euronav was completely sidelined” (para. 112) “CMB and Frontline exerted tremendous pressure on Euronav's supervisory board. (…) The independent chairwoman of the council, in particular, was placed under intense pressure” (para. 115) “Under normal market conditions, transactions are negotiated between directly involved parties, especially between buyer and seller. This is not what happened here. The price of about 2.35 billion dollar paid by Frontline cannot therefore be considered market-conform under these circumstances. This price implied a particular advantage in favor of Frontline.” (para. 117) This ruling breaks new legal ground in Belgium and abroad regarding judicial protection of the minority shareholders, putting brazen bidders willing to game the system on notice. These findings were only made possible after key documents, including supervisory board meeting minutes, legal and financial advice and further evidence, were made available to the public following a court ruling in the United States earlier this year in a case also brought by FourWorld Capital Management LLC (FourWorld). John Addis, Founder and Chief Investment Officer (CIO) of FourWorld said: “Friday’s ruling makes it clear that Euronav’s two largest shareholders acted to serve their own interests at the expense of the company and minority shareholders which is an important first step in unravelling this deal. We believe there was a far greater cost to independent shareholders than recognized by the Brussels Market Court on Friday. “CMB and Frontline managed to pull off the deal of a lifetime underneath the noses of Euronav’s supervisory board and financial regulators. Our years of experience fighting for minority shareholder interests has shown that if a deal looks too good to be true, it probably is. FourWorld will continue to fight through the courts for a fair outcome to this case.” The Brussels Markets’ Court placed the resolution of the share price adjustment firmly back in the jurisdiction of the Belgian financial regulator (FSMA), ordering it to re-examine the bid price taking into account its findings. This means that the FSMA may yet increase the bid price by more than 0,52 US$ – something FourWorld will ask it to do. Having concluded that Euronav’s Supervisory board was sidelined and then coerced, this ruling paves the way for success in a separate legal challenge currently underway in the Antwerp Enterprise Court. In that case, FourWorld has petitioned for the unwinding of CMB’s mandatory takeover, Euronav’s US$2.35 billion fleet sale to Frontline and Euronav’s decision to renounce and settle its arbitration claim against Frontline. To reward shareholders, the U.S.-listed, Athens-based company boosted its quarterly dividend and introduced a new payout policy, underscoring its commitment to driving growth and delivering value to investors. Seanergy Maritime, a leading pure-play Capesize ship owner, is sailing at peak performance in 2024. The company’s 18-vessel fleet, including 1 Newcastlemax and 17 Capesize vessels, has driven record results. In Q2 2024, Seanergy posted a net income of $14.1 million, a fresh all-time high which compares with $700,000 in the year-ago period. For the first half of 2024, net income surged to $24.3 million, a major turnaround from the $3.5 million loss in the same period last year. Q2 net revenue soared by 52% year-over-year to $43.1 million, while H1 revenue grew by 75% to $81.4 million. Earnings per share reached $0.68 for Q2 and $1.18 for H1. Seanergy's reported financial fundamentals have led the board to enhance its dividend policy, aiming to deliver even more value to shareholders. With a focus on distributing around 50% of operating cash flow after debt payments, the company boosted its Q2 cash dividend to $0.25 per share – up from $0.15 and $0.10 in the previous two quarters. This move continues their commitment to rewarding investors, having already returned $34.7 million in cash dividends since Q1 2022. This strong momentum continued into Q2, boosting Seanergy’s fleet to an average daily time charter equivalent (TCE) of $26,636. Following a recent swing to profitability in the second quarter, United Maritime has declared its seventh consecutive quarterly dividend of $0.075 per share. Additionally, the company is making a minority investment in a new offshore Energy Construction Vessel (ECV) project through a partnership with Norwegian counterparts, with expected completion in 2027. The ECV will serve both the oil and gas and renewable energy sectors, where demand is currently outpacing supply. United Maritime also partnered to charter-in an Aframax tanker, which is run by a reputable tanker pool operator, for as long as nine months. United Maritime has also secured $48.3 million year-to-date in financing deals, the proceeds of which will be directed toward refinancing multiple ship leases. Robust Vessel Demand Seanergy and United Maritime remain optimistic about the outlook for the Capesize sector, in which both report being advantageously positioned. Vessel demand remains robust amid a backdrop in which China's iron ore and coal imports are growing while a similar demand story unfolds in the Brazilian export market. Orderbook data suggests a slow-growing fleet size will persist, in response to which dry bulk demand is likely to outpace supply for the foreseeable future, according to the companies.
