VOLATUS AEROSPACE CORP. ANNOUNCES CLOSING OF OVERSUBSCRIBED FINANCING FOR GROSS PROCEEDS OF $4.2M AND PROVIDES CORPORATE UPDATE

Volatus Aerospace Corp. (TSXV: VOL) (OTCQB: VLTTF) (“ Volatus ” or the “ Company ”) is pleased to announce that it has closed its previously announced marketed public offering (the “ Offering ”) of 11,171,812 units of the Company (the “ Units ”), inclusive of 60,612 Units forming part of the over-allotment option, at a price of $0.36 per Unit for gross proceeds of approximately $4,021,852. Each Unit is comprised of one common share in the capital of the Company (a “ Common Share ”) and one Common Share purchase warrant (each whole warrant, a “ Warrant ”). Each Warrant entitles the holder thereof to acquire, subject to adjustment in certain circumstances, one Common Share at an exercise price of $0.50 for a period of 24 months from the date of issuance. The Company has applied to list the Warrants (the “ Supplemental Listing ”) for trading on the TSX Venture Exchange (the “ TSXV ”) and anticipates the Warrants to be trading on the TSXV under the symbol VOL.WT.A on or about October 13, 2022. The Offering was led by Echelon Wealth Partners Inc., as lead agent and sole bookrunner, and a syndicate of agents, including Integral Wealth Securities Limited (collectively, the “ Agents ”). In connection with the Offering, the Company: (i) issued the Agents an aggregate of 879,475 compensation warrants, each of which is exercisable into one Common Share at an exercise price of $0.36 for a period of 24 months from the date of issuance; and (ii) paid the Agents an aggregate cash commission of $316,610.97. The Offering was completed pursuant to the Company’s (final) short form prospectus dated September 16, 2022 (the “ Prospectus ”). A copy of the Prospectus can be obtained on SEDAR at www.sedar.com. The Company is also pleased to announce that it has closed its previously contemplated concurrent brokered private placement of 569,222 Units on the same terms as the Offering (the “ Concurrent Private Placement ”) for aggregate gross proceeds of approximately $204,920. The Company will not be proceeding with its previously announced concurrent non-brokered private placement of Units of up to $500,000. All securities issued in connection with the Concurrent Private Placement are subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities laws. The Offering and the Concurrent Private Placement are subject to final approval of the TSXV. The Company will use the net proceeds of the Offering and Concurrent Private Placement for inventory, factory operations, warehouse improvements, equipment for services and training, technology development, acquisitions, working capital and general corporate purposes, as more particularly set out in the Prospectus. Fifty percent (50%) of the stock options shall vest on the first anniversary of the date of grant with the remaining fifty percent (50%) on the second anniversary of the date of grant. The granting of these options is subject to the terms of the Company’s stock option plan and its standard form stock option agreement, in addition to any required approval of the TSXV. KISS: Where Dreams Take Wings

September 8 was unlike any other day for the students of Kalinga Institute of Social Sciences (KISS) in Bhubaneswar, India. There was a discernible excitement among the students since morning. For, they had been informed to collect at the campus playground for a special announcement. KISS was more than an institute for these indigenous students coming from remote and far-flung areas. It held a special place for them. KISS was a destination of hope, a place which gave them a sense of liberation from despair and a home where they could discover their identities. As the clock struck 5 in the evening, Dr Achyuta Samanta, educationist and founder of KISS, joined the students at the playground along with the teachers. “My dear students, you would be delighted to know that KISS has won the UNESCO Literacy Prize for 2022. My congratulations to you all and to the teachers and staff who have made this possible. This is the highest honour that this institute can get. It cannot get sweeter than this,” he declared in his inimitable style as the crowd burst into celebration. The award was presented at a global award ceremony organised by UNESCO in Côte d’Ivoire on September 8 on the occasion of International Literacy Day and was received by a key functionary of the institute. The evening of September 8 went down as a momentous occasion for the institute, a historic day for KISS that has redefined education imparted to the indigenous students in the State of Odisha and in other parts of India that are dominated by the indigenous population. Today it has transformed into the largest institute for indigenous students in the world. The prestigious UNESCO King Sejong Literacy Prize 2022 was conferred upon KISS for its outstanding literacy programme. The institute was nominated following the recommendations of an international jury. The Prize was sponsored by the Government of the Republic of Korea in recognition of the contributions to mother language-based literacy development. KISS received the award in the category of ‘Mother Tongue Based Multilingual Education’ programme’. It carried an endowment of US$ 20,000, a medal and a diploma. The Visionary: Dr Achyuta Samanta Along with the students, the UNESCO honour was a big moment as well for Dr Samanta. The emotion associated with it was ineffable. Years ago, he had dreamt to build an institute that could impart education to unprivileged children who remained separated from the mainstream, ignorant and disengaged. His unwavering determination to work for their cause had developed from his early days spent in abject poverty. He had seen from close quarters how poverty consumes people into a state of hopelessness. He could realise that education held the only hope to succeed in life. He proved it to himself and decided to set up KISS to offer education to the indigenous population for their social uplift. The indigenous groups constitute about 28 per cent of Odisha’s total population. It was Dr Samanta’s untiring effort and emphasis on quality that KISS was conferred the status of a Deemed-to-be-University by Govt of India. It offers free education, boarding and other supporting infrastructure for the holistic development of the children. It offers education from Kinder Garten to Post Graduate and PhD levels. The institute is home to 40,000 students while 30,000 have passed out since its establishment in 1992-93. In 2007, the Rugby Team of KISS won the Junior Rugby World Cup in England. In the field of sports, it has produced Olympians and Commonwealth Games medallists who have brought laurels to the country. It has gained the unique reputation of being a veritable sports hub in Odisha. Multilingual Education Programme As KISS saw appreciable enrolment, it began to offer education in mother tongue, respecting the indigenous people’s diversity and ethnicity. This was a small beginning yet revolutionary step in empowering and educating the indigenous kids. The institute adopted the Multilingual Education Programme in 2013 through an innovation sandbox approach to address the challenge of poor retention of indigenous students in elementary schools due to classroom language barriers and teachers' incapacity. The programme was implemented through a hybrid format with face-to-face and distance learning modules using low-tech solutions such as television, radio, and text messaging. The remarkable success of the programme was reflected by the fact that not only the KISS movement brought a perceptible change in the life of the indigenous population, but it has also helped in bringing back misguided youths who had joined the Left-Wing Extremism and taken up arms against the State. KISS has in its course of evolution and function, collaborated with various UN agencies and organs for the implementation of several initiatives related to education and empowerment. KISS has been in special consultative status with ECOSOC since 2015 and is affiliated with UNDPI. About KIIT: KISS is the constituent of KIIT, a Deemed-To-Be-University offering technical education in various verticals. The institute was founded in the early 1990s by Dr Samanta to offer quality technical education to students. The sprawling campus is now a veritable melting pot of nationalists, cultures and ethnicities and has the largest number of foreign students on any campus in Eastern India. Understanding Inherited Cancer Risk and Genetic Testing

For certain cancers that disproportionally or exclusively affect women, like breast and ovarian cancer, there is a bias to focus on the mother’s side of the family tree in health conversations. And for many, especially previvors – people living at risk of a particular disease but not yet diagnosed – that seemed like enough. But as research has evolved and our understanding of inherited risk has deepened, it has become clearer that genetic risk on our dad’s side of the family can also increase an individual's breast and ovarian cancer risk. Recently, Cancer Previvor Jen Culton and Board-Certified Physician Assistant, Skyler Jesz, participated in a nationwide satellite media tour to discuss inherited risk from dad’s side of the family and some tips to help you take a proactive approach to your health. A video accompanying this announcement is available at: https://youtu.be/0cFRDhC4JHs A recent survey from Myriad Genetics,, a leader in genetic testing, underscores that dad’s side of the family is often overlooked, and much more: More than a third of women do not feel knowledgeable about their father's side of the family. Only 30% of women are very comfortable speaking with their father about their potential risk of getting breast or ovarian cancer, compared to 57% being very comfortable speaking about it with their mother. This is much lower in comparison to the almost 80% of women who consider themselves knowledgeable about their mother’s family health history. 48-year-old Jen Culton sought genetic testing in 2013 after her older sister’s breast cancer diagnosis to find out if she might be at risk. Results showed that she carries a BRCA1 gene mutation and is at increased risk of developing the disease. The news came as a surprise. Jen knew her mother’s health history and it didn’t include cancer. What she didn’t know then: her father’s family history of cancer; the gene mutation came from him. She used this information to take proactive measures to address her risk. For more information, visit myriad.com/knowyourrisk About Jen Culton: Jen Culton is a 48-year-old living previvor. She is at risk for breast and ovarian cancer and came to learn about it in unexpected and surprising ways. It began with her sister Mickey Marasco. Mickey was diagnosed with breast cancer in 2013. Her doctors recommended she undergo genetic testing, and it was discovered that she carries a BRCA1 gene mutation. While undergoing cancer treatment, Mickey had one request: that all six of her siblings undergo genetic testing as well. The siblings went for testing together, and two of Mickey’s sisters (Jen being one of them) were also found to carry the same BRCA1 mutation. For Jen it came as a surprise. She knew her mother’s side did not have a history of cancer. Later she learned that her father’s side did and the gene mutations actually came from their father’s side of the family. But the family’s story doesn’t end there. Jen has three biological daughters – 26, 19, and 10 – who are now facing a similar reality. Genetic testing confirmed that Jen’s oldest daughter is not BRCA1 positive. Her second daughter, however, inherited the BRCA1 mutation from Jen, as well as an ATM gene mutation from her father. Her chances of developing cancer are extraordinarily higher than that of the average woman, up to 87% for breast cancer. With this knowledge, she’s ready to face what’s next, and is considering what proactive measures she should take for her health – just like her mom and her aunts, also BRCA1 positive who sought out proactive measures to manage their risks, and all three are now thriving.
